By accessing or using the Orion AI Agent platform, website, or any related services (collectively, the "Services"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not access or use our Services.

If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these terms.

2. Description of Services

Orion AI Agent is an AI-powered front desk and customer communication platform provided by Orion AI. The Services include but are not limited to:

• AI-powered customer chat and inquiry handling via website, WhatsApp, and other messaging channels.
• Automated appointment scheduling, booking management, and calendar integration.
• Lead capture, qualification, and routing.
• Automated reminders and notifications via email and WhatsApp.
• Admin dashboard for managing conversations, bookings, analytics, and customer data.
• AI agent training and customization using your business data.
• Integration with third-party platforms and CRM systems.

3. Account Registration

To use certain features of the Services, you must create an account or request a demo. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and update your information to keep it accurate and current.
• Keep your login credentials confidential and not share them with unauthorized parties.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized access or use of your account.

4. Subscription Plans & Payments

Our Services are offered under various pricing plans as described on our website. By subscribing to a plan, you agree to the following:

• Subscription Fees: You agree to pay all fees associated with your selected plan. Fees are billed in advance on a monthly or one-time basis depending on your plan.
• One-Time Plans: The Premium plan is a one-time payment that includes setup, installation, and a specified period of hosting and AI usage as described at the time of purchase.
• Recurring Plans: The Starter plan is billed monthly. You authorize us to charge your payment method on a recurring basis until you cancel.
• Price Changes: We reserve the right to modify pricing with 30 days' advance notice. Existing subscriptions will be honored at their current rate until the next renewal period.
• Refunds: Due to the nature of digital services and AI setup, refunds are handled on a case-by-case basis. Contact us within 14 days of purchase if you believe a refund is warranted.

5. Acceptable Use

When using the Services, you agree not to:

• Use the Services for any unlawful, harmful, or fraudulent purpose.
• Transmit spam, phishing, or unsolicited commercial messages through the AI agent.
• Attempt to gain unauthorized access to our systems, servers, or other users' data.
• Reverse-engineer, decompile, or disassemble any part of the Services.
• Use the AI agent to collect sensitive personal data (medical records, financial data, etc.) without proper legal basis and user consent.
• Interfere with or disrupt the Services or servers/networks connected to the Services.
• Use the Services in a way that violates the rights of others, including intellectual property rights.
• Misrepresent your identity or affiliation with any person or organization.

6. Data & Content Ownership

Your Data: You retain full ownership of all data, content, and business information you provide to the platform. This includes business knowledge base content, customer interaction data, and booking records.

Our Platform: The Orion AI Agent platform, including its software, design, algorithms, branding, and documentation, is the intellectual property of Orion AI. You are granted a limited, non-exclusive, non-transferable license to use the Services for the duration of your subscription.

AI Training Data: By providing business data for AI training, you grant us a limited license to use that data solely for the purpose of training and operating the AI agent for your business. We will not use your business data to train AI for other clients.

7. Third-Party Integrations

The Services may integrate with third-party platforms (WhatsApp, Google Calendar, CRM systems, payment processors, etc.). Your use of these integrations is subject to the respective third-party terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

8. Service Availability & Uptime

We strive to maintain high availability and uptime for the Services. However, we do not guarantee uninterrupted, error-free, or secure access at all times. The Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you in advance of planned downtime.

9. Limitation of Liability

To the maximum extent permitted by law, Orion AI and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Services.

Our total liability for any claim arising from or related to the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

10. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the AI agent's responses will be accurate, complete, or error-free in all circumstances.

11. Termination

You may cancel your subscription at any time through your account settings or by contacting us. We reserve the right to suspend or terminate your access to the Services at any time if you violate these terms or engage in conduct that we determine to be harmful to our platform, other users, or third parties.

Upon termination, your right to use the Services will cease immediately. We will retain your data for a reasonable period to allow you to export it, after which it will be deleted in accordance with our data retention policies.

12. Indemnification

You agree to indemnify, defend, and hold harmless Orion AI and its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, or expenses (including reasonable attorney's fees) arising from your use of the Services, violation of these terms, or infringement of any rights of a third party.

13. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which Orion AI is incorporated, without regard to its conflict of law provisions. Any disputes arising from these terms or the Services shall be resolved through binding arbitration or in the courts of the applicable jurisdiction.

We reserve the right to update or modify these Terms and Conditions at any time. We will notify you of material changes by posting the updated terms on this page with a revised effective date. Your continued use of the Services after changes are posted constitutes acceptance of the updated terms.
